Services Agreement

This agreement is between Runtime Rodeo ("Runtime Rodeo," "we," "us") and the business named in your offer ("you"). It covers what you buy from us: a website (and, if you choose it, our Hosting & Care plan), and our Round Up email services: Estimate Round Up, Old Estimate Round Up, Review Round Up, Reminder Round Up, and Full Round Up, with the Referral Round Up and Season Round Up add-ons. Your offer page (the package, the exact price, what's included, and when the offer expires) is part of this agreement. If the two ever disagree, the offer page controls.
1. Agreeing
You accept this agreement by ticking the box on your offer page and paying, which counts as your signature under Texas and federal e-signature law. The person accepting confirms they can sign for the business. Each offer records the version of this agreement that was accepted.
2. What we build
- The scope is your offer. We build the pages and features listed on your offer page, in the languages listed. Anything else, like online stores, booking systems, ads, ongoing SEO campaigns, or custom software, isn't included unless it's on your offer.
- Facts come from you or your public information. We don't invent facts, reviews, or credentials. Photos on your site are yours, or none at all.
- Other languages. A Spanish (or English) version is translated with AI and translation tools, then checked so names, numbers, and prices match your site. If you want exact wording, send it to us and we'll use it as written. Please have someone who reads the language look it over during your review.
- Accessible and mobile-first. We design to the WCAG 2.2 AA accessibility standard and test every page on phones. That's a design standard we hold ourselves to, not a promise about any particular law.
3. Price, payments, and tax
- One exact price, shown on your offer, good through the offer's expiry date.
- Half to start, half at launch. You pay 50% to accept the offer and the rest when your site is ready to launch.
- Or the Website Plan (Starter Website only, when your offer says so): $149 a month plus tax, nothing down, with Hosting & Care included. After 12 monthly payments the site is yours and the plan continues as Hosting & Care at its regular price until you cancel. You can cancel any time and owe nothing more; until the 12th payment, though, the site isn't yours yet, so we keep it up for 30 days and then take it down, unless you restart the plan or pay the remaining months to own it.
- Texas sales tax. Texas taxes website services as data processing on 80% of the price. The tax is shown on its own line on every payment.
- Payments are processed by Stripe. We never see or store your card number.
4. Changing your mind, and refunds
- Your website deposit. Until we email you the link to review your finished site, you can cancel and we'll refund your deposit in full. After that, your deposit pays for the work done and isn't refunded, and you owe nothing more unless you launch.
- The Website Plan. Until we email you the link to review your finished site, you can cancel and we'll refund your first payment in full. After that, each month runs to its end when you cancel, with no partial refunds.
- Your final payment isn't refunded once your site launches, but for 30 days after launch we fix anything that isn't working as agreed (section 11).
- Add-ons. Change your mind before we deliver one, and we'll refund it in full.
- Hosting & Care. Monthly, it runs to the end of the month you've paid for when you cancel, with no partial refunds. Yearly: cancel within 30 days of a yearly charge (the first one or a renewal) and we'll refund that charge in full; after that, it runs to the end of the year you've paid for.
- Round Up email services refunds are in section 16.
- If we can't deliver what your offer describes, we'll refund what you've paid for it.
- How refunds work. Refunds go back to the card you paid with, sales tax included.
5. Your part
- Content. You send what we ask for (your logo, photos, the domain you want to use, and answers to our questions) within a reasonable time.
- Your rights. You confirm you have the right to let us use everything you send, and that it doesn't infringe anyone's rights. If we get a valid copyright complaint about something on your site, we may take it down, and we stop hosting sites that repeatedly infringe.
- Your claims. You're responsible for the accuracy of what your site says about your business, such as licenses, insurance, prices, and service areas. If your trade must show a license number in its advertising (for example, Texas electrical, A/C, plumbing, and irrigation contractors), you'll give us the number, and the site won't launch without it.
- Going quiet. If we can't reach you for 60 days while your site is being built or reviewed, we may close the project. Your deposit pays for the work done.
6. Reviews and revisions
- Rounds. Your package includes the number of revision rounds on your offer. A round is one list of changes, sent together, from your customer page or by email.
- More changes after your rounds are used are quoted before we do them.
- Ready for launch. When your site is ready, we email you a link to review it and pay the balance. Launching means you've accepted it.
7. Who owns your website
- It's yours after payment in full (on the Website Plan, after its 12th payment, or sooner if you pay the remaining months). When you've paid in full, we assign to you all the rights we have in the finished website we made for you: its pages, words, and design. You can use it, change it, and move it anywhere.
- Your content stays yours. Your text, photos, and logos remain yours.
- What we keep. We keep our own tools, code, templates, and know-how. You get a permanent, free license to whatever of them is part of your website, for your website.
- Third-party parts. The fonts are open-source (SIL Open Font License); the license files come with your download.
- AI-assisted work. We use AI tools to help draft some text. Under current U.S. Copyright Office guidance, material made by AI alone may not be protected by copyright for anyone. We transfer all the rights we have, but we can't promise every part is protected.
- Our portfolio. We show your site in our marketing only with your written permission, which you can take back at any time.
8. Your domain and hosting
- Your domain is yours. It stays in your own account at your registrar. We never hold it, and we never register a domain with your business's name for ourselves.
- Launching means you point your domain at our hosting by changing its DNS records. We send you the exact records.
- Without Hosting & Care, we host your site free for 30 days after launch. We remind you before that ends. After it, we take the site off our hosting and you can put it anywhere.
- Download it once it's paid for. Once your site is live and paid in full (on the Website Plan, after your last payment), your customer page has a complete copy of your site, with instructions for moving it to any web host.
9. Hosting & Care (optional)
- What it is. Hosting and the security certificate, uptime checks (and we fix it if it goes down), security and software updates, backups with rollback, form and broken-link checks, an instant reply in your name to everyone who fills out your form (section 10), a monthly report, and up to 30 minutes of small edits each month. Unused minutes don't carry over.
- Price. $79 a month, or $790 a year, plus Texas sales tax, charged to your card until you cancel. We'll give you 30 days' notice before any price change. If you bought it at an earlier price, that price stays until we give you that notice.
- Cancel any time from your offer page ("Manage Hosting & Care"). It stops at the end of the month or year you've paid for (refunds are in section 4), and your site stays up for 30 more days so you have time to move it or come back.
- Response times. We aim to answer support requests within one business day, and within 4 hours when your site is down. These are goals, not guarantees.
10. Requests through your site's form
When visitors send requests through your site's form, we handle them for you: we email each one to you and keep it for 90 days, then delete it. With Hosting & Care, we also send the visitor a short reply in your name right away, saying you got their request (and your phone number, if it's on your site); their replies go straight to you. We use them for nothing else, and we never sell them. Your site carries a privacy notice that says so. If we ever learn that this data was accessed without permission, we'll tell you promptly.
11. Our promises, and what we don't promise
- We do the work in a professional, workmanlike way.
- For 30 days after launch, we fix anything that isn't working as agreed, at no charge.
- We don't promise search rankings, calls, leads, replies, booked jobs, or revenue, or uninterrupted availability. No website or email can.
- TO THE EXTENT THE LAW ALLOWS, WE MAKE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
12. Limits on liability
TO THE EXTENT THE LAW ALLOWS: (A) NEITHER OF US IS LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS OR DATA, EVEN IF TOLD THEY WERE POSSIBLE; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS UNDER THIS AGREEMENT IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. THESE LIMITS APPLY EVEN TO CLAIMS BASED ON OUR OWN NEGLIGENCE. They don't apply to fraud, gross negligence, or willful misconduct, and they don't limit rights you have that the law doesn't allow to be waived, including under the Texas Deceptive Trade Practices-Consumer Protection Act.
13. Content you send us
IF SOMETHING YOU SENT US TO PUT ON YOUR SITE INFRINGES SOMEONE'S RIGHTS OR IS UNTRUE, YOU AGREE TO COVER OUR REASONABLE COSTS, INCLUDING REASONABLE ATTORNEYS' FEES, OF CLAIMS AGAINST US THAT RESULT, EVEN IF OUR OWN NEGLIGENCE CONTRIBUTED, EXCEPT TO THE EXTENT THE CLAIM IS CAUSED BY OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
14. Texas law, and talking first
Texas law governs this agreement. If something goes wrong, contact us first: most problems are solved with a conversation. Any lawsuit will be brought in the state or federal courts for Hays County, Texas.
15. General
- This agreement and your offer are the whole agreement about what you bought from us.
- If part of it can't be enforced, the rest still applies.
- We may update this agreement for future purchases. A change to the terms of Hosting & Care or a Round Up email service takes effect 30 days after we email you about it.
- Neither of us is responsible for delays caused by events outside our control.
16. Round Up email services
Our Round Up email services are Estimate Round Up (monthly), Old Estimate Round Up (one payment), Review Round Up (monthly), Reminder Round Up (monthly), and Full Round Up (the first, third, and fourth together, monthly), with two add-ons: Referral Round Up (with Review Round Up or Full Round Up) and Season Round Up (with Reminder Round Up or Full Round Up). With each one, we email people who gave you their email for an estimate or a job ("your customers") about it, in your business's name. Sections 1, 3 (tax and Stripe), and 11 to 15 apply to these services too.
- What we send. Short emails on the schedule shown on your offer page, from your business's name "via Runtime Rodeo," through a sending service we use only for this. Each one says who it's from and why, says it's a promotional email, shows your business's mailing address, and has a one-click way to stop. Email only: we don't send text messages or make calls for you.
- Estimate questions and your answer sheet. For Estimate Round Up and Old Estimate Round Up, we answer questions only from an answer sheet you approve, and we start by having a person check each answer before it's sent. Questions about price or discounts, complaints, warranty claims, safety, anything urgent, and anyone ready to book go to you, with their details. For Review Round Up and Reminder Round Up, we pass every reply on to you, except requests to stop (we stop emailing that person) and automatic replies such as out-of-office notices. Under Reminder Round Up, a "no thanks" counts as a request to stop.
- Review requests. Every customer you add gets the same request and the same link to your Google reviews. We don't screen for happy customers first, and neither of us offers anything in return for a review, as Google's policy and the FTC's rule on consumer reviews require. You'll add all the customers from the jobs you choose to include, not only the ones you expect to be happy.
- Referral emails. With Referral Round Up, each customer on your Review Round Up list gets one more email about three weeks after the job, asking them to pass your phone number or booking link to someone who could use it. We never ask for anyone else's email address and never email anyone who didn't do business with you. If you thank people for referrals, we say so in your words; that thank-you is yours to honor, and it is never tied to leaving a review.
- Seasonal emails. With Season Round Up, we send 2 to 4 seasonal emails a year to customers on your Reminder Round Up list with a job in the last 24 months who haven't asked to stop. You approve each one, including its date, before it goes out.
- Your promises to us. You confirm that (a) everyone on the lists you send us gave you their email for an estimate or a job and expects to hear from you about it (no bought, rented, or scraped lists), (b) you may share their contact details with us for this purpose, (c) your facts sheet is true, and you'll tell us when it changes, and (d) the mailing address you give us is your business's real address. Section 13 applies to your lists and your facts sheet too.
- Stop means stop. When someone asks to stop, marks an email as spam, or their address bounces, we stop at once and never email them for you again, under any of our Round Up services. If someone asks you directly, tell us and we'll do the same. Your page with us shows everyone who asked to stop; please don't send them marketing email yourself either, because the law treats a request to stop as covering all of your business's marketing email. If too many of a list's emails bounce or are marked as spam, we pause the service and work through the list with you before restarting.
- Your customers' information. We use it only to provide the service to you. We never sell it, use it for our own marketing, or share it with our other customers; only the providers we need to run the service handle it: Resend (sends the emails), Supabase (our database), Google Workspace (where replies arrive), and Anthropic, through Vercel's AI Gateway (drafts answers from your approved answer sheet for a person to check). When your service ends, we stop emailing at once and delete the list 30 days later, unless you ask for a copy first; we keep only the addresses of people who asked to stop, so that stays true if you come back. If we learn the information was accessed without permission, we'll tell you promptly.
- Price. Monthly services (add-ons included): the monthly price and any setup fee shown on your offer page, plus Texas sales tax, charged to your card when you sign up and then monthly until you cancel. Or pay yearly, at 10 times the monthly price, charged when you sign up and then each year. Cancel any time from your offer page; it stops at the end of the month or year you've paid for. Old Estimate Round Up: one payment up front, covering up to 300 estimates from the last 12 months, over 30 days from when we switch it on.
- Refunds. If you cancel before we switch the service on, we refund everything you've paid for it. On a monthly service, if it isn't worth it to you, tell us within 30 days after we switch it on and we'll refund your first monthly payment (any setup fee pays for the setup work). After that, cancel any time: it runs to the end of the month you've paid for, with no partial refunds. Paying yearly: cancel within 30 days of a yearly charge (the first one or a renewal) and we'll refund that charge in full (any setup fee pays for the setup work); after that, it runs to the end of the year you've paid for. Old Estimate Round Up isn't refunded once it's switched on, unless we don't deliver what your offer describes.
- Results. We don't promise replies, reviews, booked jobs, or sales. Your reports count a job as booked or sold only when you mark it.
